Subscription Terms

1. Introduction         

1.1 Subscription Agreement 

  • This Subscription Agreement ("Agreement") is a legally binding contract between Frozen Brothers ("Frozen Brothers" or “We” or “Us”) and the subscribing retailer ("Subscriber" or “You” or “Your”), governed by the laws of England and Wales. It establishes the terms for the subscription-based agreement of the frozen beverage dispensing equipment and services.  
  • This “Agreement” and the “Terms and Conditions” together constitute the complete terms governing the supply of loaned equipment, as well as the goods and services related to the loaned Equipment, during your Subscription Term. By entering into this Agreement, you acknowledge and agree to be bound by both this Agreement and the Terms and Conditions. 2. Subscription Framework

2.1 Subscription Term

  • The subscription term ("Subscription Term" or "Current Term") is a 24-month contract period. Your Subscription Term, including the loaned equipment provided, will be outlined in your Order Confirmation.
  • Subscription Agreements automatically renew for rolling 12-month terms unless terminated by providing at least 30 days’ advance written notice before the end of the Current Term.

2.2 Charges and Price Adjustments

  • Payment Options
    • Your subscription fee ("Subscription Fee") is payable on a Monthly Payment ("Monthly Payment"), which means the Subscription Fee will be charged once per calendar month.
    • The Monthly Payment must be paid in advance via Direct Debit Agreement from your bank account.
  • Charges
    • Late or failed payments will incur a charge of 5% of the overdue amount and will be payable on issue of invoice.
  • Annual Price Increases
    • Your Subscription Fee will remain unchanged for the first 12 months of the Agreement.
    • Thereafter, on 1 April each year, your Subscription Fee will:
      • Increase by the Consumer Price Index (CPI) rate of inflation plus 3.9%. You will receive written notice of any price changes at least 30 days in advance.
      • If the CPI figure is negative in the relevant year, only the 3.9% increase will apply.

3. Subscription Upgrades and Options

3.1 Subscription Upgrades

  • You may submit an application to upgrade your loaned Equipment model or add additional Equipment during your Subscription Term ("Upgrade Application").
  • All Upgrade Applications must be submitted in writing and may result in a revised Subscription Fee. A new Subscription Agreement or addendum may be required.
  • Upgrades and additions are subject to:
    • Equipment availability
    • Approval by Frozen Brothers
    • Compliance with the Terms and Conditions

3.2 End-of-Subscription Options

  • At the end of your Subscription Term, you may:
    • Automatically renew for rolling 12-month terms by providing 30 days' advance written notice
    • Enter a new Agreement with new Equipment
    • End your Agreement
      • You must provide 30 days’ written notice
      • Frozen Brothers will arrange Equipment collection as per Annex 2 of the Terms & Conditions at frozenbrothers.com/ts-cs-of-sale

3.3 Early Termination of your Subscription

  • If you cancel before your Subscription Term ends, an Early Termination Charge (“ETC”) applies.
  • The ETC covers the unused portion of your contract and is calculated as:
    • The remaining amount payable (pro-rata daily) until contract end
    • A 25% discount for early payment of your Subscription Fee
    • VAT added to the final ETC amount
  • The ETC invoice is due immediately after termination notice.
  • No additional penalties apply—ETC follows the Consumer Rights Act 2015 for fairness.

4. Loaned Equipment Provision

  • Loaned Equipment remains the property of Frozen Brothers and is provided in accordance with Annex 1 of the Terms and Conditions.
  • Servicing, repair, or replacement for normal wear and tear is included in the Subscription Fee.
  • You must follow the maintenance and operational guidelines outlined in Annex 2 of the Terms and Conditions.

5. Entire Agreement

  • 5.1 Severability of Terms
    • If any provision of this Agreement is found to be invalid or unenforceable under applicable law, the remaining provisions shall remain in full force and effect.
